Userspace, Inc (“Userspace,” “we,” “our,” or “us”) provides access to its website located at userspace.com (the “Site”) and related applications, tools, APIs, and cloud-based services collectively referred to as the “Platform” or “Services.” By visiting the Site or using the Platform, you agree to these Terms of Service (“Terms”) and our Privacy Policy.
1. ACCEPTANCE OF TERMS
By accessing or using the Services, including by clicking “accept” where this option is presented, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms or our Privacy Policy, do not use our Services.
2. ELIGIBILITY
You must be at least eighteen (18) years of age and capable of forming a binding contract under applicable law. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
3. USER ACCOUNT AND SECURITY
You may be required to register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately of any unauthorized access or breach.
4. PLATFORM OVERVIEW
Userspace provides users with access to personalized, secure Cloudlet™ data hubs that enable ownership, access, and sharing of healthcare information. Cloudlets are user-controlled environments designed to store, manage, and transmit healthcare-related data, such as medical records and billing information, in a consent-driven and secure manner.
The Platform is designed to support:
Patients: Personal Cloudlets for data ownership, clarity on billing and EOBs, and simplified sharing with providers
Practices: Practice Cloudlets to streamline billing, improve data interoperability, and enhance patient communication.
Developers: Secure, HIPAA-compliant APIs for building innovative apps that interact with Cloudlet data under user consent.
5. PRIVACY
Our practices regarding the collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.
6. MODIFICATION OF SERVICES
We reserve the right to modify or discontinue the Services (in whole or in part) at any time without notice. We are not liable for any modification, suspension, or discontinuation.
7. INTELLECTUAL PROPERTY
All content, trademarks, software, and intellectual property used in or on the Platform are owned by or licensed to Userspace and protected by copyright and other laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent. Userspace grants you a limited, non-exclusive, non-transferable license to access and use the Platform for lawful purposes, subject to these Terms.
8. USER CONTENT
You may submit content to the Platform (“User Content”). You retain ownership of your content but grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display it for the purpose of providing the Services. You are solely responsible for your User Content and represent that it does not violate any third-party rights or applicable laws.
9. SECURITY
We take commercially reasonable measures to protect your data but cannot guarantee absolute security. You use the Platform at your own risk and are responsible for securing your devices and connections.
10. COMPLIANCE & RESTRICTIONS
You agree not to:
Use the Services in violation of any law
Reverse engineer or hack the Platform
Interfere with its functionality or security
Access data without proper authorization
11. LINKS TO THIRD PARTIES
The Platform may contain links to third-party websites. We are not responsible for their content, policies, or practices. Inclusion of a link does not imply endorsement.
12. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Washington. Any dispute will be resolved through binding arbitration in King County, Washington under the rules of the American Arbitration Association. YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
13. DISCLAIMER OF WARRANTIES
The Services are provided “as is” without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services.
15. TERMINATION
We reserve the right to suspend or terminate your access at any time for violation of these Terms or for any reason, with or without notice.
16. CHANGES TO TERMS
We may update these Terms at any time. Changes take effect upon posting. Continued use of the Services means you accept the updated Terms.
